General Terms and Conditions
I work with companies fairly and openly. My consultations and projects are based on experience. I believe in a professional approach on both sides – I provide solutions and recommendations, you decide how to use them.
1. Introductory provisions
a) These general terms and conditions (hereinafter referred to as “GTC”) govern the rights and obligations between Ing. Bronislav Malík, ID No.: 65002369, with its registered office at Štítného nám. 189, 394 64 Počátky, (“Provider”) and its clients (“Customer”) who use consulting, management, project, or training services in the area of supply chain and logistics (hereinafter referred to as “Services”).
b) By ordering any service, the Client confirms that they have read these GTC and agree with their wording.
2. Nature of the services provided
a) The services provided are of an advisory and consulting nature. The Provider gives recommendations, suggestions, and expert opinions based on its experience, practice, and available information, but does not guarantee a specific result or success of the recommended procedure. The Provider is only liable for damage caused intentionally or through gross negligence, and only up to the amount paid for the relevant service.
b) The Client is solely responsible for how and to what extent they apply the Provider’s recommendations in practice.
c) The Provider is not liable for damage resulting from decisions The Client or third parties, even if such decisions were made on the basis of the consultation provided.
3. Order, terms, and payments
a) Consultations take place in person or online after prior agreement on the date and payment via a payment gateway. If payment is not made, there is no entitlement to the agreed date.
b) Payment is always made in advance, at the latest upon confirmation of the date. Without payment, the date is not binding (see point 3(a)).
c) If the Client fails to attend the agreed consultation without giving notice at least 24 hours in advance, the amount paid shall be forfeited as a cancellation fee.
d) If the Client gives notice at least 24 hours in advance, a replacement date may be agreed without additional payment.
e) Consultations that are extended for reasons on the part of the Client may be invoiced according to the actual time worked at a rate of CZK 2,500/hour. The fee is charged after every ¼ hour started as a proportionate part of the hourly rate. If the consultation is prolonged at the will of the Provider, the longer time shall be at their expense.
4. Protection of information and confidentiality
a) All information communicated between the Provider and the Client during their cooperation is considered confidential and may not be disclosed to third parties without the written consent of the other party.
b) The Client undertakes not to disseminate or commercially exploit the Provider’s know-how, documents, or methodology, unless expressly agreed.
c) The Provider undertakes to maintain the confidentiality of information about the Client’s operations and internal processes.
5. Copyright
a) Materials, recommendations, presentations, or other outputs created by the Provider are copyrighted works within the meaning of Act No. 121/2000 Coll., on copyright.
b) The Client is entitled to use them only for the internal needs of its organization. Any dissemination, modification, or provision to third parties without the Provider’s consent is prohibited.
6. Final provisions
a) All communication between the Provider and the Customer shall take place electronically via email or another channel agreed upon by the parties.
b) These GTC are an integral part of every agreement or order between the Provider and the Customer.
c) The Provider reserves the right to update the GTC, with the current version always available on the website www.brunomalik.com
d) The legal relations between the Provider and the Customer are governed by Czech law, in particular Act No. 89/2012 Coll., the Civil Code, as amended.
e) All disputes arising from the contractual relationship shall be resolved preferably by amicable means. If this is not possible, they shall be decided by the competent court according to the Provider’s registered office.
